Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("you" or "User") and GIGDATA LLC, a Delaware limited liability company doing business as AI-Signed ("AI-Signed," "we," "us," or "our"). By accessing or using the AI-Signed website, application, API, Shopify app, or any related services (collectively, the "Service"), you agree to be bound by these Terms. If you do not agree, you must not use the Service.

If you are using the Service on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms, and "you" refers to that entity.

2. Service Description

AI-Signed provides a trust verification service for websites. We perform automated scans across multiple trust categories — including identity, security, content, reputation, and AI readiness — and generate a trust score and verification badge that can be displayed on your website and accessed by AI agents and the public via our API and verification pages.

We also offer a free scan tool that produces a limited, summary-level trust assessment. Free scans require an email address and are subject to rate limits. Free scan results do not include a verification badge and are not publicly listed.

3. Accounts and Eligibility

You must be at least 18 years old or the age of legal majority in your jurisdiction to create an account and use this Service. By creating an account, you represent that the information you provide is accurate, current, and complete, and you agree to update it as necessary.

You are responsible for maintaining the confidentiality of your account credentials and API keys. You are liable for all activity that occurs under your account. You must notify us immediately at security@ai-signed.com if you suspect unauthorized access to your account.

4. Subscriptions, Billing, and Renewals

Paid features require an active subscription. Subscription plans and pricing are listed on our Pricing page. All prices are in US dollars unless otherwise stated.

• Auto-renewal: Subscriptions automatically renew at the end of each billing cycle unless you cancel before the renewal date. You authorize us to charge your payment method on file for each renewal period.
• Payment processing: Payments are processed securely through Stripe. We do not store your full credit card number. Payment through Stripe also serves as a form of identity verification.
• Failed payments: If a payment fails, we will attempt to charge your payment method up to three additional times over a 14-day period. If all attempts fail, your subscription will be suspended and your badges will be deactivated until payment is resolved.
• Price changes:We may change subscription prices with at least 30 days' notice by email. Price changes take effect at the start of your next billing cycle after the notice period. If you do not agree to a price change, you may cancel before it takes effect.

5. Free Scans and Email Collection

The free scan feature requires you to provide a valid email address. By submitting your email, you consent to receive the scan results and occasional service-related communications from AI-Signed. You may unsubscribe from non-transactional emails at any time using the link in any email.

Free scan results are provided for informational purposes only. They display a summary trust grade and the names of checks that require attention, but do not include detailed remediation guidance or a verification badge. Free scans are rate-limited and may be restricted or discontinued at any time without notice.

6. Domain Verification

You may only register domains that you own or are authorized to manage. Domain ownership is verified through DNS TXT records. You represent and warrant that you have the legal right to verify any domain you submit.

Attempting to verify domains you do not own or control is strictly prohibited and constitutes grounds for immediate account termination without refund. We reserve the right to revoke verification for any domain if we reasonably believe ownership has not been established.

7. Trust Scores and Badges

Trust scores are calculated algorithmically based on automated checks and are provided on an "as-is" basis. AI-Signed does not guarantee the accuracy, completeness, or reliability of any individual check or overall score. Scores may change as we update our scanning methodology, and they do not constitute an endorsement, certification, or warranty of your website's safety or trustworthiness.

Badge display is contingent on maintaining an active subscription and a verified domain. You are granted a limited, revocable, non-exclusive, non-transferable license to display your trust badge solely on the verified website while your subscription is active. You must not:

• Display a badge on a website other than the one it was issued for
• Modify, alter, or obscure the badge design in any way
• Display a badge after your subscription has expired or been terminated
• Use a badge in a manner that implies AI-Signed endorsement beyond trust verification
• Create or display counterfeit, modified, or self-generated badges resembling AI-Signed badges

Misrepresenting your trust score or displaying a badge fraudulently is grounds for immediate termination and may be reported to applicable authorities.

8. API Usage

API access is provided for programmatic integration with the Service. Your API key is confidential and must not be shared, published, or embedded in client-side code. You are responsible for all API activity conducted with your key.

• Rate limits: API requests are subject to rate limits as documented in our API documentation. Exceeding rate limits may result in temporary throttling or suspension of API access.
• Permitted use: You may use API data to integrate trust information into your own applications. You must not use the API to build a competing service, scrape data in bulk, or redistribute API output commercially without our written consent.
• Key revocation: We reserve the right to revoke API keys at any time if we detect abuse, a security breach, or a violation of these Terms. You may regenerate your API key from your dashboard at any time; doing so immediately invalidates the previous key.
• Output ownership: Trust scores, badge data, and verification statuses returned by the API remain the intellectual property of AI-Signed. You are granted a license to display this data, not ownership of it.

9. Shopify App

If you install AI-Signed through the Shopify App Store, these Terms apply in addition to Shopify's own terms of service. Your Shopify store domain will be used as the verified domain. Billing for the Shopify app may be handled through Shopify's billing system, and Shopify's refund policies may apply to charges processed through their platform.

Uninstalling the app will deactivate your trust badge. Your account data will be retained for 30 days after uninstallation, after which it will be permanently deleted unless you request earlier deletion.

10. Prohibited Conduct

You agree not to:

• Register or verify domains you do not own or are not authorized to manage
• Attempt to manipulate, falsify, or artificially inflate trust scores
• Use the Service to facilitate fraud, phishing, or any unlawful activity
• Reverse engineer, decompile, or disassemble any part of the Service
• Scrape, crawl, or harvest data from the Service except via the authorized API
• Resell, sublicense, or redistribute the Service or its output without written authorization
• Interfere with or disrupt the integrity or performance of the Service
• Circumvent any security measures, access controls, or rate limits
• Use automated means to create accounts or submit scans in excess of documented limits
• Impersonate any person or entity, or misrepresent your affiliation with any person or entity

11. Cancellation and Refunds

You may cancel your subscription at any time through your dashboard billing settings or by contacting us. Upon cancellation:

• You retain access to paid features until the end of the current billing period
• Your trust badges will be deactivated at the end of the billing period
• Your verification pages will be removed from public access
• Your account data will be retained for 30 days, then permanently deleted
• You may request immediate data deletion by contacting us

Subscription fees are non-refundable. No prorated refunds are issued for partial billing periods. If you believe you were charged in error, contact billing@ai-signed.com within 30 days of the charge.

12. Termination by AI-Signed

We reserve the right to suspend or terminate your account, with or without notice, if we reasonably believe you have violated these Terms. In cases of fraud, domain misrepresentation, or illegal activity, termination may be immediate and without refund.

For non-critical violations, we will make reasonable efforts to notify you and provide an opportunity to cure the violation before termination. Upon termination:

• All badges and verification pages are immediately deactivated
• API keys are revoked
• You remain liable for any fees owed prior to termination
• Sections of these Terms that by their nature should survive (including Sections 14, 15, 16, 17, and 19) will survive termination

13. Intellectual Property

All trust scores, badge designs, scanning methodology, software, API output formats, documentation, and branding are the intellectual property of GIGDATA LLC. Nothing in these Terms grants you any right, title, or interest in our intellectual property except the limited badge display license described in Section 7.

You retain ownership of your domain and website content. By using the Service, you grant us a limited license to access and scan your publicly available website data solely for the purpose of generating trust assessments.

14. Indemnification

You agree to indemnify, defend, and hold harmless GIGDATA LLC, its officers, directors, employees, agents, and affiliates from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or related to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights; (d) your domain verification or badge display; or (e) any content or data you provide through the Service.

15. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

We do not warrant that: (a) the Service will be uninterrupted, timely, secure, or error-free; (b) trust scores or scan results will be accurate, complete, or reliable; (c) any defects will be corrected; or (d) the Service will meet your specific requirements. No advice or information obtained from AI-Signed creates any warranty not expressly stated in these Terms.

Trust scores are informational assessments, not certifications. They should not be relied upon as the sole basis for any security, compliance, or business decision.

16. Limitation of Liability

To the maximum extent permitted by applicable law, AI-Signed and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, goodwill, or business opportunity, regardless of the cause of action or the theory of liability, even if advised of the possibility of such damages.

Our total aggregate liability for all claims arising out of or relating to these Terms or the Service shall not exceed the total amount you paid to AI-Signed in the 12 months immediately preceding the event giving rise to the claim.

17. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict of laws provisions.

Any dispute arising from these Terms or the Service will first be subject to good faith negotiation for a period of 30 days after written notice. If unresolved, the dispute will be resolved through binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. The arbitration will be conducted in English and the award will be final and binding.

Either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement of intellectual property rights. You agree to waive any right to participate in a class action lawsuit or class-wide arbitration.

18. Modifications to Terms

We may update these Terms from time to time. When we make material changes, we will notify you by email at least 14 days before the changes take effect and update the "Last updated" date at the top of this page. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.

If you do not agree to the changes, you must cancel your subscription and stop using the Service before the effective date. Non-material changes (such as typographical fixes or clarifications that do not alter your rights) may take effect immediately.

19. General Provisions

• Entire agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and AI-Signed regarding the Service and supersede all prior agreements, understandings, and communications.
• Severability: If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
• Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. Any waiver must be in writing and signed by an authorized representative of AI-Signed.
• Assignment: You may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign these Terms without restriction, including in connection with a merger, acquisition, or sale of assets.
• No agency: Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship between you and AI-Signed.
• Force majeure: AI-Signed will not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to natural disasters, acts of government, internet outages, cyberattacks, or third-party service failures.
• Electronic communications: By using the Service, you consent to receive communications from us electronically (email and in-app notices). You agree that all agreements, notices, and disclosures provided electronically satisfy any legal requirement that such communications be in writing.
• Third-party links: The Service may contain links to third-party websites or services. We are not responsible for the content, practices, or availability of any third-party sites and do not endorse them.
• Export compliance: You agree to comply with all applicable export and re-export control laws and regulations in your use of the Service.

20. Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information. By using the Service, you acknowledge that you have read and understood the Privacy Policy.
